Conditions governing the use of budgetstrata.com and related advisory services.

1. Scope of Services

b.s. provides commercial legal consulting in industrial asset structuring and zoning liability management under provincial commercial strata frameworks. Our services are advisory only and do not constitute legal representation unless a separate retainer agreement is executed.

All recommendations are based on the information provided by the client and the applicable provincial strata legislation at the time of consultation.

2. Client Responsibilities

The client is responsible for the accuracy and completeness of all documents, data, and disclosures submitted for review. b.s. relies on this information without independent verification unless expressly agreed in writing.

The client must notify b.s. promptly of any changes in ownership, zoning classification, or strata plan amendments that may affect the scope of the engagement.

3. Limitation of Liability

b.s. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our consulting reports or recommendations, including but not limited to regulatory penalties, lost revenue, or increased strata fees.

Our aggregate liability for any claim related to services provided under these terms is limited to the total fees paid by the client for the specific engagement giving rise to the claim.

This limitation does not apply in cases of gross negligence or willful misconduct by b.s.

4. Intellectual Property

All reports, analyses, templates, and methodologies delivered by b.s. remain the intellectual property of b.s. unless otherwise agreed in writing. The client receives a non-exclusive, non-transferable license to use the deliverables for internal business purposes only.

The client may not reproduce, distribute, or publish any deliverable without prior written consent from b.s.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement. This obligation survives termination of the agreement for a period of three years.

Confidentiality does not extend to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority.

6. Termination

Either party may terminate the engagement with 14 days written notice. Upon termination, the client shall pay for all services rendered up to the effective date of termination.

b.s. reserves the right to suspend services immediately if the client fails to comply with these terms or applicable laws.

7. Amendments

These terms may be amended by b.s. at any time. Clients will be notified of material changes via email or a notice on this page. Continued use of the services after the effective date of amendments constitutes acceptance of the revised terms.

It is the client's responsibility to review these terms periodically.

8. Governing Law and Dispute Resolution

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or the services shall be resolved through binding arbitration in Toronto, Ontario.

The arbitration shall be conducted in English by a single arbitrator appointed under the Arbitration Act (Ontario).
